This Tool Rental Agreement ("Agreement") is entered into by and between Raven Smith Tool Supply ("Lessor") and the customer ("Lessee"). By agreeing to these terms during online checkout, the Lessee acknowledges they have read, understood, and accepted all terms herein. All references to tool(s) refer to rented items, not purchased items.

RENTAL PERIOD The rental period begins when the tool(s) are transferred to the Lessee by a Raven Smith Tool Supply representative at the designated pickup location or delivered to the Lessee’s specified address. The rental period ends when the tool(s) are returned directly to a Raven Smith Tool Supply representative and inspected. Tools left unattended at the Lessor’s location are not considered returned. The Lessee assumes responsibility for the tool(s) from hand-off until they are returned and inspected. Rental extensions may be arranged within 24 hours of the scheduled return date and time, subject to the sole discretion of the Lessor. Returns made after the agreed-upon return date and time may result in an additional daily charge.

PAYMENT TERMS The Lessee shall make a partial payment of 20% of the total order at checkout. The remaining balance will be automatically charged upon successful hand-off. If the Lessor cannot fulfill pickup or delivery, the partial payment will be refunded unless both parties agree to a new pickup or delivery date and time. If the Lessee fails to be present at the agreed-upon time and location, the Lessor may retain the partial payment plus charge the delivery fee in full after making reasonable efforts to reschedule. If payment attempts fail, the Lessee will be given a reasonable grace period to arrange alternative payment. Failure to resolve payment may result in collections, with the Lessee liable for associated costs, including collection agency fees and legal expenses.

DAMAGE, LOSS, OR THEFT The Lessee is responsible for any damage, loss, or theft due to mishandling or negligence. The Lessee must inspect the tool(s) at hand-off and report any pre-existing damage immediately. The Lessee is encouraged to document the condition of the tool(s) through photographs. Normal wear and tear (e.g., minor scratches or scuffs) is acceptable, but damage rendering the tool(s) inoperable, unsafe, or unsuitable for future rental is not. The Lessee must report any damage or loss as soon as possible. In the event of theft, the Lessee must notify the Lessor immediately with a detailed account. The Lessor will determine whether to file a police report. The Lessee is liable for negligence that results in theft, including but not limited to leaving tool(s) unsecured, improper storage, unauthorized lending, or improper use leading to loss. The Lessee is also responsible for any repair costs associated with damage beyond normal wear and tear or, if necessary, replacement at market value.

LIABILITY WAIVER The Lessee assumes all risks associated with tool use and agrees to indemnify and hold harmless the Lessor from all claims, legal fees, and third-party damages. It is the responsibility of the Lessee to inspect and test all tool(s) before general use. The Lessor agrees to maintain the operability of all tools for their intended use but is not liable for injuries, illnesses, or death related to tool use. The Lessor’s liability is limited to the amount paid by the Lessee for the rental period. The Lessor is not responsible for incidental, consequential, or special damages. Both parties are protected under force majeure provisions. The Lessor provides the tools "as is" and disclaims any warranties beyond ensuring operability for intended use.

REFUNDS All refunds are at the Lessor’s sole discretion.

RETURNED EQUIPMENT All tool(s) must be returned directly to a Raven Smith Tool Supply representative. Returns made outside business hours or without a direct hand-off may incur additional charges. Failure to return tool(s) on the agreed-upon date and time without reasonable cause may result in additional daily charges or a charge equal to the market price of the unreturned tool(s). Missing components must be returned within 48 hours or will be charged at market value. If the Lessee refuses to return the tool(s), the Lessor reserves the right to pursue legal action, including but not limited to reporting the equipment as stolen and seeking restitution for the full market value of the tool(s).

GOVERNING LAW AND DISPUTE RESOLUTION This Agreement is governed by the laws of the Commonwealth of Virginia. Disputes shall be resolved through arbitration or mediation in accordance with applicable laws. Arbitration costs, including arbitrator fees and administrative expenses, shall initially be shared equally. The prevailing party may recover such costs. Each party is responsible for its own legal fees unless otherwise awarded by the arbitrator. The Lessee waives the right to initiate a chargeback for valid charges and agrees to resolve disputes directly with the Lessor before further action. The location of arbitration shall be determined by the Lessor.

ADDITIONAL TERMS The Lessee agrees to allow the Lessor to photograph the tool(s) alongside the Lessee’s driver’s license at hand-off to verify the Lessee’s age (18+) and confirm transfer of possession. The Lessee shall not loan, sublease, or otherwise transfer possession of the tool(s) to any third party without the express written consent of the Lessor. Improper use of the tool(s) voids any implied protections and may result in immediate termination of the rental agreement without refund.
